TERMS AND CONDITIONS

NO PURCHASE NECESSARY TO ENTER.

SPONSOR: Loop Media, 700 N Central Avenue, Suite 430, Glendale, CA 91203 (the “Sponsor”). Sponsor’s decisions are final and binding in all matters relating to the Trivia Loop Challenge (the “Contest”).

CONTEST ENTRY PERIOD:   Contest begins at 12:00:00 AM Pacific Time (“PT”) on January 9, 2023 and ends at 11:59:59 PM PT on February 9, 2023 (“Contest Entry Period”). The Sponsor’s or its designated agent’s computer system shall be the official timekeeper for receipt of Contest entries.

ELIGIBILITY: Contest is open to legal residents of the fifty (50) United States including the District of Columbia (collectively referred to hereafter as the “Territory”), age 18 years or older at time of entry who are employed at an establishment subscribing to Loop Media that are using its ad-supported player and service (collectively referred hereafter as a “Contestant” or “Contestants’). Void where prohibited by law. Employees (and anyone professionally associated with) the Sponsor, and its respective parent company, agents, affiliates, subsidiaries, advertising and Contest agencies, and any other individual or company involved in the development or execution of the Contest (collectively, the "Released Parties") and their immediate families (parents, siblings, children and their respective spouses) and same households of each, whether or not related, are not eligible to enter or win. No groups, clubs or organizations may participate in this Contest or reproduce or distribute any portion of these Terms and Conditions (“T&Cs”) to its members. Contest is subject to all applicable federal, state and local laws and regulations.

CONTEST OBJECTIVE: The Contest objective is to submit an original video in which Contestant is watching or interacting with Loop Media services or having a “trivia” night with Loop Trivia (collectively, the “Contest Objective”).

HOW TO QUALIFY: During the Contest Entry Period, record a fifteen (15) to sixty (60) seconds original video demonstrating the Contest Objective. Visit https://form.jotform.com/230025710244138 (“Website”) and follow all onscreen instructions to upload your video and provide the necessary information on the entry form, including providing information about your Trivia Loop, and click “Submit” button to enter.

Once your video is properly uploaded to the Website, the information you supplied will be considered and referred to herein as your “Entry.” Limit: one (1) Entry per Contestant per account. All Entries must be received by 11:59:59 PM PT on February 9, 2023. Only complete and valid Entries as determined by the Sponsor will be eligible. Once you submit an Entry, your submission is considered final and may not be modified or edited. If any video exceeds sixty (60) seconds only first sixty (60) seconds will be judged.

By submitting an Entry, you, the Contestant, hereby agree to hold Released Parties and their respective affiliates and subsidiaries, and the officers, directors and employees of each of the foregoing, harmless from and against any liability of any kind arising from or in connection with any use of the Entry. By submitting an Entry, you, the Contestant, hereby warrant and represent you have not included any restricted content in the Entry and have not violated any of the requirements for Entries as stated in these T&Cs.

Multiple Contestants are not permitted to use the same email address. Duplicate Entries from any Contestant will be disregarded. Entries are subject to all notices posted online including Sponsor’s privacy policy. Sponsor is not responsible for any typographical, printing, or other errors; or for Entries that are late, lost, incomplete, contain inaccurate Entry information, misdirected (whether by human or technical error), stolen, garbled, undelivered, delayed, damaged, and/or illegible or any combination thereof; or for any computer, online, telephone or technical malfunctions that may occur. All Entries, requests and/or materials submitted become the property of Sponsor and will not be returned or acknowledged. Normal Internet access and data usage charges imposed by your carrier or online service will apply.

The Sponsor reserves the right to prescreen the submitted Entries and/or disqualify any Entry for any reason. Sponsor is under no obligation to disclose why an Entry has been disqualified other than the Entry was ineligible under these T&Cs. Entries that do not include all required information and do not adhere to these T&Cs will be considered void.

Any Entry that does not meet the Entry guidelines below and/or conform to the Entry requirements as stated above and on the website registration form, will be disqualified from the Contest.

Entry Guidelines:

Entry cannot:

  • Be sexually explicit or suggestive; unnecessarily violent; derogatory of any ethnicity, race, gender, religion, sexual preference, disability or age group; or profane or pornographic.
  • Be obscene or offensive or endorse any form of hate or hate group.
  • Promote alcohol, illegal drugs, tobacco, vape products, firearms/weapons (or the use of any of the foregoing) or promote illegal activities or any activities that may appear unsafe or dangerous.
  • Defame, misrepresent or contain disparaging or libelous remarks about the Sponsor (or its products or services), or other people and/or companies.
  • Contain any use of trademarks, logos (except the Sponsor’s logo), landmarks, copyrighted materials owned by others, or otherwise infringe or violate any third-party rights, as determined by Sponsor or contain any personally identifiable information of any individual.
  • Communicate messages or images inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate.

Entry must:

  • Contain original content, and it must be solely created by Contestant. It is Contestant’s responsibility to obtain, prior to submission of the Entry, the approval and rights to use any content that he or she did not create, including any creative work executed as a collaborative effort with other individual(s), for which Contestant must obtain written permission from such individual(s) prior to submitting creative work in this Contest.
  • Not have been previously published, submitted, or otherwise used for any other commercial purpose.

By submitting your Entry, you, the Contestant, warrant and represent that your Entry complies with the above entry guidelines, and that you consent to the submission and use of the Entry in the Contest. Released Parties are not responsible for any unauthorized third-party use of any Entry. Entries will not be held “in confidence” and an Entry does not create a confidential relationship or obligation of secrecy between any Contestant and Sponsor or any of its affiliates. As a Contestant, you also acknowledge your Entry may be similar or identical in theme, format and/or other respects to other Entries. By entering, each Contestant waives any and all claims he or she may have had, may have, and/or may have in the future that any Entries, ideas or other works accepted, reviewed and/or used by the Sponsor, its affiliates, or their respective officers, directors, employees and agents may be similar to or the same as Entry, or that any compensation is due to you in connection with such Entry or other works used by Sponsor. In the event of a dispute over the identity of a Contestant or ownership of or rights to the Entry, the disputed Entry will be disqualified in the sole discretion of the Sponsor.

CONTEST JUDGING: All eligible and qualifying Entries received during the Contest Entry Period will be judged by a panel of judges consisting of personnel from the Sponsor (collectively, the "Judges") to determine the top three (3) scoring Entries based on the following judging criteria:

(a) Best connection with customers in video (75%)

(b) Most entertaining video (15%)

(c) Originality (10%)

The top three (3) scoring Entries, subject to verification, will be declared the Contest winners on or about February 15, 2023. The Entry with the overall highest score will be declared the First-Place winner. The Entry with the second highest score will be declared the Second-Place winner. The Entry with the third highest score will be declared the Third-Place winner.

TIES: In the event of a tie, the Entry (from among the tied Entries) with the highest score for best connection with customers in the video will be declared the winner (subject to verification). In the event of a further tie, the Entry (from among the tied Entries) with the highest score for most entertaining video will be declared the winner (subject to verification). In the event of a further tie, the Sponsor will determine the winning Entry from among the tied Entries. The Sponsor reserves the right to not award any prize if, in its sole and absolute discretion, it does not receive enough eligible and qualified Entries.

Judges’ decisions are final and binding on all matters related to the Contest.

WINNER NOTIFICATION: An email notification will be sent to each winner after February 15, 2023  based on the information provided by Contestant on Entry.  Each winner will be required to execute and return an Affidavit of Eligibility/Liability & Publicity Release (“Affidavit”) within five (5) days of date specified on the prize notification or he/she will be disqualified and at the Sponsor’s sole discretion, the next highest scoring Entry may be determined the alternate winner. If winner fails to respond to the email prize notification or if the Affidavit, prize notification email is returned as undeliverable; or if a winner has failed to execute and return the Affidavit any other required document requested by the Sponsor within the specified time period; or if winner is otherwise found to be ineligible; or if a winner cannot accept or receive the prize for any reason, the winner will forfeit all rights to the prize and an alternate winner may be determined at Sponsor’s sole discretion. The Sponsor reserves the right to modify the notification procedures in connection with the determination of an alternate winner. Should winner be found to have made any false statement(s) in the Affidavit or any required document, such winner will be disqualified. Except where prohibited by law, entry and acceptance of prize constitutes permission for Sponsor and/or any third party associated with the Contest to use each winning Entry, and each winner’s name, prize won, hometown, image and likeness for purposes of advertising, promotion and publicity (including online posting on Sponsor’s website of choice) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

PRIZES: One (1) First Place Prize: $500 Amazon Gift Card. One (1) Second Place Prize: $200 Amazon Gift Card. One (1) Third Place Prize: $100 Amazon Gift Card. Total ARV of all prizes: $800.00. Each prize will be awarded within thirty (30) days of winner verification. All fees, federal, state, local and income taxes or other expenses relating to the use, misuse, acceptance and possession of any prize are each winner’s sole responsibility. Gift card prizes are subject to its restrictions and will not be replaced if lost or stolen. Sponsor reserves the right to substitute brand of gift card with another brand should the original gift card become unavailable.

ASSIGNMENT OF RIGHTS: Contestants hereby irrevocably and exclusively grants and assigns to Sponsor (or, if any applicable law prohibits or restricts such assignment, Contestant hereby grants to Sponsor an irrevocable, perpetual, royalty-free, transferable license of) on a gratis basis all right, title and interest in and to such Work, including, without limitation, all rights of every kind and nature (whether now known or hereafter devised, including all copyrights therein and thereto and all renewals and extensions thereof), throughout the universe, in perpetuity, for all purposes, in any and all media, whether now known or hereafter devised.  Contestant hereby waives all so-called “moral rights of authors” and “droit moral” rights (and any similar or analogous rights under the applicable laws of any country of the world). Each Contestant agrees and acknowledges that no public performance, synchronization, mechanical, writing, publishing and/or master use royalties, monies or consideration of any kind will be payable in connection with Sponsor’s, or Sponsor’s designees and licensees, use of the Work, whether commercial use or otherwise, in any and all media, whether now known or hereafter devised. Contestants warrant and represent that a Contestant has the right to this assignment of rights and that the Work is and shall be new and original with Contestant and shall be capable of copyright protection throughout the universe, that it does not and shall not violate or infringe upon any common law or statutory right of any party or constitute unfair Contest and is not now and shall not be the subject of any litigation.  Contestants shall indemnify and hold the Released Parties harmless from and against any losses, costs, liabilities, claims, damages, or expenses arising out of any claim which is inconsistent with any warranty or representation made by the Contestant in this assignment of rights. 

RELEASES: Participating Contestants agree to these T&Cs and the decisions of the Sponsor and release, defend and hold harmless Released Parties as well as the employees, officers, directors and agents of each, from all claims, actions and all liability of any kind whatsoever for injuries, damages or losses of any kind, which may be sustained in connection with, either directly or indirectly, (1) the awarding, receipt, ownership, use or misuse of prize awarded herein; or (2) participation in the Contest or any prize-related activities, if any.  Sponsor is not responsible if Contest cannot take place or if any prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, pandemic, natural disasters, weather or acts of terrorism. Each winner assumes all liability for any injury or damage caused or claimed to be caused, by participation in this Contest or use or redemption of any prize.

By participating in this Contest, each Contestant located in the United States waives and relinquishes all rights and benefits afforded by California Civil Code 1542 and does so understanding and acknowledging the significance of this waiver. Section 1542 states as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DID NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN, BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR THE RELEASED PARTIES.”

PRIVACY POLICY/DATA COLLECTION: By participating in this Contest, Contestants agree to Sponsor’s use of all information provided by you to conduct this Contest. Such use is subject to Sponsor’s privacy policy located at: https://www.loop.tv/legal/privacy-policy. Your personal information be shared with the Sponsor, who will be solely responsible for its use of information. Sponsor will process and use the data provided and transfer such personal data to the United States for purposes of management of the Contest.; it is not possible for you to participate in the Contest without your personal data being processed in this way. 

GENERAL: By entering the Contest, each Contestant affirms that s/he has read, understands, and accepted these T&Cs. Any information collected by entering the Contest shall be used only in a manner consistent with these T&Cs and Sponsor’s privacy policy. The Sponsor reserves the right to cancel or modify the Contest if fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Contest, as determined by Sponsor in its sole discretion. In such event, the Sponsor reserves the right to determine winner from among the eligible, non-suspect Entries received up to the time of the impairment. The Sponsor is not responsible for error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of Entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of, or failure to receive Entry information by Sponsor on account of technical problems or traffic congestion on the internet or at any website or any combination thereof. Sponsor is also not responsible for any injury or damage to a Contestant’s or any other person’s computer related to or resulting from downloading any materials associated with the Contest. CAUTION: Any attempt by a Contestant to deliberately damage the Contest website or undermine the legitimate operations of the Contest is a violation of criminal and civil laws and should such an attempt be made; the Sponsor reserves the right to seek damages from any such Contestant to the fullest extent permitted by law.

DISPUTES: This Contest is subject solely to the applicable laws of the United States and is not subject to any laws outside of the 50 United State; provided, however, that, except where prohibited, by participating in the Contest, each Contestant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved exclusively by final and binding arbitration under the rules of  California in an arbitration to be held at the regional office nearest the Sponsor where  California shall govern the interpretation, enforcement and all proceedings at such arbitration; (b) a judgment upon any such arbitration award may be entered in any court having jurisdiction; (c) to the degree any dispute, claim or cause of action arising out of or connected with this Contest or any Prize awarded is not subject to arbitration, then it shall be adjudicated exclusively by the appropriate courts located in California; (d) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action; (e) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (f) under no circumstances will Contestant be permitted to obtain awards for, and Contestant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, and any and all rights to have damages multiplied or otherwise increased, other than for actual out-of-pocket expenses.  All issues and questions concerning the construction, validity, interpretation and enforceability of these T&Cs, or the rights and obligations of the Contestant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the United States, without giving effect to any choice of law or conflict of law rules (whether in the 50 United State or any other jurisdiction) which would cause the application of the laws of any jurisdiction other than the United States.
