Loop Media, Inc. is reporting financial and operating results for its fiscal second quarter ended March 31, 2023.

Fiscal Q2 2023 vs. Fiscal Q2 2022 Highlights


• Revenue increased approximately 11% to $5.4 million.

• Gross profit increased to $1.6 million, with gross margin of 29.4%.

• Net loss was $9.8 million or $(0.17) per share, compared to a loss of $5.0 million or $(0.11) per share.

• Adjusted EBITDA (a non-GAAP financial measure defined below) was $(5.6) million compared to $(3.0) million.

• As of March 31, 2023, the Company had 32,734 quarterly active units (QAUs) operating on its platform, an increase of 22% compared FQ1 2023..




“While we did achieve quarterly growth year-on-year, the sequential high level revenue growth we have seen over the past four quarters pulled back during this second quarter due to the challenging macroeconomic environment coupled with the toughest advertising quarter of the
year due to seasonality. To counteract that, our various advertising and marketing initiatives resulted in a 22% sequential increase in quarterly active units in Fiscal 2023 Q2 over Q1, as we continue to perform well in the distribution of players and increase our platform footprint,
which we believe will bode well when the market recovers and ad dollars return more robustly,” said Jon Niermann, CEO of Loop Media. “Our ability to scale distribution and continue to convert those dollars into meaningful growth of our Loop Player footprint is a testament to our execution, while we navigate a continued challenging macroeconomic environment in the
industry.”

“In addition, we are being extra diligent to scrutinize costs, reduce spending and create efficiencies where we can to strengthen the bottom line. We’ve already pinpointed significant cost reductions by the end of Q3 that we believe will help achieve this goal while also building our margins. We believe this can happen without jeopardizing future growth while we work our way aggressively towards becoming positive cashflow,” Niermann added.

Fiscal Second Quarter 2023 Financial Results


In the fiscal second quarter, revenue increased approximately 11% to $5.4 million compared to $4.9 million in the year-ago period. The increase was primarily driven by significantly more Loop Players deployed into the market and the benefit from Loop’s Partner Platform business launched in May 2022.

Gross profit in the fiscal second quarter of 2023 increased slightly to $1.6 million compared to $1.4 million for the same period in fiscal 2022. Gross margin was 29.4% compared to 28.0% in the prior period. The slight increase was primarily driven by new contracts with reduced average content costs. When compared to the prior quarter, fiscal Q2, gross margin decreased primarily due to lower revenue and recurring content costs.

Total sales, general, and administrative (“SG&A”) expenses (excluding stock-based compensation and depreciation and amortization) in the fiscal second quarter of 2023 were $7.8 million compared to $4.7 million for the same period in fiscal 2022. The increase in SG&A was primarily due to greater marketing, customer acquisition and increased headcount.

Net loss in the fiscal second quarter of 2023 was $9.8 million or $(0.17 per share, compared to a loss of $5.0 million or $(0.11) per share for the same period in fiscal 2022.

Adjusted EBITDA in the fiscal second quarter of 2023 was $(5.6) million compared to $(3.0) million for the same period in fiscal 2022.

On March 31, 2023, cash and cash equivalents were $4.7 million compared to $7.8 million on December 31, 2022. The decrease was primarily driven by marketing spend and non-recurring expenses related to licensed content. As of March 31, 2023, the Company had total debt of $9.1 million compared to $9.2 million at December 31, 2022.

Fiscal Q1 2023 vs. Fiscal Q1 2022 Highlights 


• Revenue increased approximately 395% to $14.8 million.

• Gross profit increased significantly to $5.7 million, with gross margin of 38.4%.


• Net loss was $5.3 million or $(0.09) per share, compared to a loss of $4.3 million or $(0.10) per share.


• Adjusted EBITDA (a non-GAAP financial measure defined below) improved to $(1.6) million compared to $(2.5) million.


• As of December 31, 2022, the Company had 26,903 quarterly active units (QAUs) operating on its platform, an increase of 47% compared FQ4 2022.





“Our fiscal 2023 is off to a solid start as our various advertising and marketing initiatives resulted in nearly 5x year over year revenue growth, a 47% sequential increase in quarterly active units and continued material improvements to our bottom line,” said Jon Niermann, CEO of Loop Media. “Our ability to scale distribution, lean into marketing and convert those dollars into meaningful growth of our Loop Player footprint is a testament to our execution, especially as we contended with a challenging macroeconomic environment in the second half of the quarter, which has carried into calendar 2023.

Fiscal First Quarter 2023 Financial Results


Revenue in the fiscal first quarter increased approximately 5x to $14.8 million compared to $3.0 million in the year-ago period. The increase was primarily driven by significantly more Loop Players deployed into the market, as well as the benefit from Loop’s Partner Platform business that was launched in May 2022.

Gross profit in the fiscal first quarter of 2023 increased significantly to $5.7 million compared to $1.6 million for the same period in fiscal 2022. Gross margin was 38.4% compared to 51.8% in the year-ago period. The decrease was primarily driven by revenue mix as the year-ago period did not include the launch of Loop’s Partner Platform business, which carries lower gross margin but higher operating margin. When compared to the prior quarter, fiscal Q4, gross margin was relatively flat.

Total sales, general, and administrative (“SG&A”) expenses in the fiscal first quarter of 2023 were $8.0 million compared to $4.4 million for the same period in fiscal 2022. The increase in SG&A was primarily due to greater marketing, customer acquisition and retention spend, as well as higher public company costs related to the Company’s public offering and up-listing to the NYSE American. As a percentage of revenue, SG&A was reduced significantly as the Company continued to improve its operating leverage.

Net loss in the fiscal first quarter of 2023 was $5.3 million or $(0.09) per share, compared to a loss of $4.3 million or $(0.10) per share for the same period in fiscal 2022.

Adjusted EBITDA in the fiscal first quarter of 2023 improved to $(1.6) million compared to $(2.5) million for the same period in fiscal 2022.

On December 31, 2022, cash and cash equivalents were $7.8 million compared to $14.1 million on September 30, 2022. The decrease was primarily driven by marketing spend and non- recurring expenses, including costs related to the Company’s uplist to the NYSE American Exchange and payments related to music licensing fees. As of December 31, 2022, the Company had total debt of $9.2 million compared to $7.1 million at September 30, 2022.

Tapping B2B and B2C markets for growth, as consumers and businesses alike gravitate from cable and satellite TV to streaming services



Loop offers its proprietary Loop Player free to businesses, through which they can select from Loop’s extensive library of content, supported by advertising. That includes music videos on more than 100 different channels, from Oldies to New Country to Club Mix, along with specialized music video channels tailored to specific types of businesses, such as Bar Anthems and Workout. It also has dozens of non-music content channels, including the TikTok Channel, drone footage, and videos from brands such as Disney and GoProTV.

Businesses such as retailers and restaurants that are seeking to provide an experiential environment are following in the path of households: They are ditching cable and satellite TV in favor of streaming services that can provide this kind of entertainment, Niermann said.

As the pandemic subsided and consumers began returning to out-of-home gatherings in bars and restaurants, Loop Media stepped up its growth in these venues, and others. It now has a presence in all 50 states, streaming content on more than 30,000 screens. Customers include restaurant chains such as

Key to the business model is Loop’s use of a programmatic ad platform — an automated system for buying digital advertising spots — that is attracting a wide range of advertisers, from Fortune 100 companies to regional and local businesses. Programmatic ad platforms are designed to serve up ads automatically that are appropriate for the specific audiences.

U.S. out-of-home advertising is projected to grow 12% in 2022, according to a recent 

, reaching $7.93 billion. The report described programmatic OOH as a “growing, but limited opportunity.”

 noted that digital out-of-home was the fastest-growing segment of OOH, accounting for 28% of total OOH.

‘The world certainly doesn't need another media company’: What they do need is ‘companies that take the medium into the future’

Since launching its programmatic ad-supported business model in February of last year, Loop has been growing sales rapidly. It anticipates $30 million in revenues in 2022 and is projecting revenues of $67 million in 2023. The company has so far been reporting losses, but it expects to begin earning a profit as its revenues continue to scale, Niermann said.

“Our goal was not to build another out-of-home company,” said Bob Gruters, Chief Revenue Officer at Loop Media. “The world certainly doesn't need another media company, but what they do need is companies that disrupt and take the medium or take the entire environment and fast-forward into the future, which is what we did.”

Overall, in the digital advertising space, most ad dollars are spent through programmatic ad platforms, he said, which made it a logical revenue channel for Loop’s unique streaming services.“

The advertisers really appreciate the deep reach that they get, the frequency, and the ability to reach audiences in different spaces,” Gruters said.



Niermann said part of the appeal of the platform to the companies that host the screens is the wide variety of high-quality content that they can choose from. That’s thanks to Loop Media’s team of 70-plus employees, many of whom, like him, have backgrounds in entertainment and media.

“Loop provides you the opportunity to pick and choose,” he said. “A doctor's office might want some Disney kids’ videos, or maybe nothing but funny, cute pet videos.”

Providing engaging content can benefit businesses such as bars, restaurants, and retailers because it’s engaging, and drives longer dwell times, Niermann said.

As the company continues to grow in both enterprise rollouts across large chains, it is also continuing to look for opportunities in independent neighborhood businesses, on college campuses, and anywhere else where it might capture viewership.

Potential venues include “any type of retail that has a large customer base milling around,” said Gruters.

The company is also working with its partners to determine what types of venues are best for the advertising community. Those may include malls, convenience stores, gas stations, specialty retail stores, supermarkets other heavily trafficked locations.

“We're focused on where the advertising investment’s going to go,” said Gruters.

Loop Media Announces Pricing of $12 Million Public Offering and Uplisting to the NYSE American

Glendale, CA-- Loop Media, Inc. (OTC: LPTV) (“Loop” or the “Company”), a leading multi-channel streaming platform that provides curated music video and branded entertainment channels for businesses and consumers, today announced that it will undergo an uplisting to the NYSE American and its common stock will trade on the NYSE American under the ticker “LPTV,” expected on or around September 22, 2022. The uplisting is subject to meeting all NYSE American LLC (the “NYSE American”) requirements at the time of listing and the Securities and Exchange Commission declaring effective Loop’s registration statement on Form S-1 for its previously announced underwritten public offering (the “Offering”). Currently, Loop’s common stock is publicly traded on the OTC Pink Open Market. Upon the effectiveness of the uplisting, trading of Loop’s common stock on the OTC Pink Open Market will cease.

Prior to the pricing of the Offering, Loop will consummate a reverse stock split of its outstanding shares of common stock on a 1-for-3 basis (the “Reverse Stock Split”). The Reverse Stock Split is expected to become effective around 4:01 PM ET on Tuesday, September 20, 2022, and Loop’s common stock is expected to begin trading on the OTC Pink Open Market on a split-adjusted basis under the temporary ticker symbol “LPTVD” at market open on Wednesday, September 21, 2022. The fifth character “D” will remain appended to Loop’s symbol for 20 business days or until Loop is listed on the NYSE American, whichever comes first, at which point Loop’s trading symbol will revert back to “LPTV.”

Upon effectiveness of the Reverse Stock Split, every three shares of Loop’s common stock outstanding will be converted into one share of common stock, with any fractional shares rounded up to one whole share. Accordingly, the number of shares of common stock outstanding following the reverse stock split will be reduced from 153,539,596 shares to approximately 51,179,865 shares.
